Samajh Na Aaye Toh

Every word on this site, decoded โ€” the movie talk and the actual IPO stuff it stands for. No finance degree required.

This page is for anyone who opens the Box Office report and goes "wait, what's a lot, and why is everything a movie." Two dictionaries below: how we talk about IPOs (the Bollywood bit), and what an IPO actually is (the real bit). Read top to bottom once โ€” you won't need to again.

Quick start Movie-talk dictionary IPO basics FAQ

Quick Start

the four numbers on every card, in one breath

Band

The price range per share the company is asking for, e.g. โ‚น545โ€“574. You bid somewhere in this range; almost everyone bids at the top so their order isn't rejected.

Lot

The minimum number of shares you're allowed to buy โ€” you can't buy just 1 share of an IPO, you buy in this fixed bundle.

Ticket

Band ร— lot โ€” the actual rupees one minimum order costs you, e.g. โ‚น14,924. SME lots need 2ร— this (see "do lot ka niyam" below).

Subs

Short for subscription โ€” how many times more shares were bid for than were on offer. 3.6ร— means 3.6 people wanted each share available.

Movie-Talk Dictionary

what we call it on this site โ†’ what it actually means

Lagao ๐Ÿ’ธ= SUBSCRIBE

Our call to put your money in โ€” literally "put it in [the machine]." The green seal.

Bhaago ๐Ÿƒ= AVOID

Our call to skip this one โ€” "run." The red seal.

Lambi Race Ka Ghoda ๐ŸŽ= LONG-TERM LAGAO

"A horse built for the long race" โ€” reserved for our strongest Lagao calls, where the fundamentals (not just listing-day hype) look genuinely solid enough to hold past listing day.

Ek Din Ka Sultan ๐Ÿ‘‘= LISTING-DAY LAGAO

"King for a day" โ€” a Lagao riding pure listing-day momentum (subscription, grey market, anchor book) with fundamentals still unverified. Take the pop, don't mistake it for a hold.

Housefull= BIDDING CLOSED

The IPO window has shut. Verdict (hit or flop) lands on listing day.

Now Showing= OPEN TODAY

You can bid right now โ€” the ribbon means the window is live.

Coming Soon= NOT OPEN YET

Dates are set but bidding hasn't started.

Trailer Review= EARLY TAKE

A preview before the full picture is out โ€” used while an IPO is still open or upcoming and some numbers (subs, anchor) aren't final yet. "Picture abhi baaki hai" = the story isn't finished.

Story & Screenplay= THE FULL REASONING

The detailed breakdown behind a call โ€” financials, valuation, GMP, subscription, anchor book, sentiment โ€” each tagged hit (green), flop (red), or side detail (grey).

Black ka Rate= GREY MARKET PREMIUM (GMP)

The unofficial "black market" price shares trade at before listing โ€” a street rumour of demand, not a real, regulated price. Treat it as gossip, not gospel.

Star Cast / Anchor= ANCHOR INVESTORS

Big institutions (mutual funds, LIC, foreign funds) who commit money a day before the public can bid. A strong "cast list" signals the pros liked the script.

Grapevine= SOCIAL SENTIMENT

What Reddit/YouTube reviewers are saying โ€” flagged "indicator only" because random internet opinions aren't research.

Verdict Seal= THE FINAL CALL

The starburst badge โ€” green "Lagao" or red "Bhaago." No seal yet means the story's still being written.

Interval= THE FOOTER RULES

The intermission note explaining how calls work: one lot, no sizing advice, locked calls don't get edited after the fact.

Purani Picturein= THE ARCHIVE

"Old pictures" โ€” every past call and how it actually turned out on listing day, hit or flop.

Censor Certificate= THE LEGAL DISCLAIMER

The fine print: this is a hobby scorecard, not investment advice, and the author isn't a SEBI-registered adviser.

Big Banner / Mainboard= LARGE-COMPANY IPO

Regular-sized companies listing on the NSE/BSE main board. Tickets usually run โ‚น13,000โ€“15,000.

B-Town / SME= SMALL & MEDIUM ENTERPRISE IPO

Smaller companies on the SME board. Higher minimum spend (usually โ‚น2โ€“2.5 lakh, and SEBI requires bidding 2 lots minimum โ€” "do lot ka niyam"), thinner trading, more volatile.

IPO Basics

the real-world concepts underneath, explained from zero

IPO

Initial Public Offering. The first time a private company sells shares to the public, so it can raise money and its stock starts trading on an exchange (NSE/BSE).

Price Band

The range the company sets for its share price during the IPO. The final price ("cut-off") is fixed after bidding closes, based on demand.

Fresh Issue vs OFS

Fresh issue: new shares created, money goes to the company. OFS (Offer for Sale): existing owners sell their own shares โ€” money goes to them, not the company. A "pure OFS" IPO raises zero rupees for the business itself.

QIB / NII / Retail

The three buyer categories bidding gets split into: QIB (big institutions), NII (rich individuals bidding >โ‚น2 lakh), Retail (everyone else, you). Each category's subscription number tells you who actually wants in.

Anchor Investor

A large institution allowed to buy in a day early, at a fixed price, to signal confidence before the public round opens.

GMP (Grey Market Premium)

An unofficial, unregulated price quote for shares before they list โ€” traded informally, outside any exchange. Widely watched, but not a reliable predictor; treat as sentiment, not signal.

RHP

Red Herring Prospectus โ€” the official document a company files with SEBI before an IPO, containing its financials, risks, and business details. The primary source; everything else is secondary chatter about it.

Listing Day

The day the stock actually starts trading on the exchange. "Listing gain" = the % difference between issue price and the first trade price.

P/E Multiple (Valuation)

Price รท earnings per share โ€” roughly, how many years of current profit you're paying for. Lower than peers = cheaper; much higher = priced for perfection.

PAT & Margin

PAT = Profit After Tax, the company's actual bottom-line profit. Margin = PAT as a % of revenue โ€” how much of every rupee earned turns into profit.

RoNW

Return on Net Worth โ€” profit as a % of the company's own equity capital. Higher generally means the business uses its money more efficiently.

D/E Ratio

Debt-to-Equity โ€” how much the company has borrowed relative to what it owns outright. Higher means more financial risk, especially if profit growth is shaky.

SEBI

India's securities regulator โ€” approves every IPO's prospectus and sets the rules (lot sizes, category quotas, disclosure) everyone here has to follow.

FAQ

the questions everyone actually asks first

Is this actual investment advice?

No. It's one person's personal IPO homework, published for fun. Read the Censor Certificate at the bottom of the main page โ€” the author isn't a SEBI-registered adviser, and nothing here is a recommendation to buy or sell.

Can I lose money in an IPO?

Yes, easily. A stock can list below its issue price ("listing loss"), and keep falling after. "Lagao" here means one person's conviction call, not a guarantee โ€” ek lot, kabhi sizing nahi (never bet more than you can shrug off).

What if I don't get allotted shares?

Normal โ€” IPOs are oversubscribed, so allotment is often a lottery. If you don't get shares, your blocked money is simply released back to your account within a few days.

Why does GMP ("black ka rate") matter if it's unofficial?

It's a rough read on demand before listing โ€” useful as one more data point, useless as a promise. It's traded in an unregulated grey market and can swing or vanish overnight.

Mainboard vs SME โ€” which is "safer"?

Neither is automatically safer, but SME stocks trade less often (lower liquidity), so prices can swing harder in either direction, and it's easier to get stuck unable to sell at a fair price.
